Responsibilities
1. Legal Strategy and Compliance
Develop and implement a legal strategy aligned with business objectives.
Ensure compliance with all relevant laws, regulations, and corporate standards.
Conduct risk assessments and manage compliance programs to proactively address legal and compliance issues.
Monitor and communicate regulatory developments to relevant stakeholders, ensuring proper implementation and compliance.
Maintain and update the company’s understanding of legal and regulatory frameworks, providing legal advisory support to management and other divisions.
Prepare and submit mandatory reports to regulatory bodies as required.
2. Contract Management
Oversee the drafting, negotiation, and review of contracts, agreements, and other legal documents.
Ensure contracts adhere to legal standards, minimize risk, and align with organizational objectives.
Develop and maintain an efficient contract management system.
3. Corporate Governance
Advise the executive team and board on legal matters related to governance and regulatory compliance.
Support the board in maintaining good corporate governance practices.
4. Litigation and Dispute Resolution
Manage litigation and dispute resolution processes, including coordination with external counsel.
Provide strategic advice on legal disputes, settlements, and mediation.
Review litigation documents and develop strategies to mitigate legal exposure.
5. Team Leadership and Development
Lead, mentor, and develop the legal team to ensure high performance and continuous upskilling.
Foster a collaborative and supportive culture while effectively managing team resources and workload.
6. Policy Development and Implementation
Draft, review, and implement company policies in alignment with legal requirements.
Provide training and guidance to employees on compliance and legal policies.
Liaise with banking and financial regulatory authorities on relevant matters.
7. Risk Management
Identify and manage potential legal risks, collaborating with other departments to develop solutions.
Lead initiatives to enhance risk management and compliance awareness throughout the organization.
8. Intellectual Property and Data Privacy
Oversee the management and protection of the company’s intellectual property portfolio (patents, trademarks, copyrights).
Ensure compliance with data privacy laws and advise on data protection measures, including the Personal Data Protection Act (PDPA).
9. Budget Management
Prepare and manage the legal department’s budget, ensuring cost-effectiveness.
Evaluate and negotiate fees with external counsel, balancing quality and cost.
Monitor and report on the legal team’s financial performance and resource allocation.
10. Additional Duties
Handle additional tasks and responsibilities as assigned, ensuring alignment with organizational goals.
Qualifications
- Bachelor’s or Master’s Degree in Laws, or any related field.
Minimum of 12 years of experience in a Legal & compliance from Personal Loan, Financial services with demonstrated experience in corporate law, compliance, and litigation.
Previous leadership experience is required.
Good knowledge of BOT regulation, personal loan products, Finance services.
Good command in English, analytical, presentation, and project management.
Excellent analytical, Strategic thinking and Decision-making abilities.
Strong understanding of business operations and corporate governance.
Strong Interpersonal and Communication Skills.
Proven experience in managing legal teams and budgets.
Ability to work under pressure and meet tight deadlines.
